Over several years Wyndham has created and developed this network of
over 6,500 experienced senior executives with extensive knowledge of
their industries, including the various competitors and their key
management; these executives are retired or have been forced to retire
prematurely or have been made redundant and, in all cases, have not
re-entered the workforce. Wyndham recognizes this pool of valuable but
under-utilized talent and that members of this network may fulfill one
or more of several valuable functions for Wyndham, including:

Identifying deal flow – particularly exclusive transactions – within
their respective industries, in the U.S., Mexico and elsewhere

Assisting in due diligence on a prospective portfolio investment

Providing confidence to sellers and financing sources in connection with a prospective portfolio investment

Leading the management team for a prospective portfolio company acquisition

Filling a management position at a portfolio company

Acting as a consultant or specialist in the operational improvement of a portfolio company

Assisting, through relationships, in finding an appropriate buyer or
joint venture partner for a portfolio company in order to optimize
Wyndham’s exit from such investment
These executives see Wyndham’s comprehensive program for adding value
as a major strength off which they can lever if they become involved in
a portfolio company.
Consequently, Wyndham is not wholly dependent on expensive headhunters
in securing additional management expertise; instead, it is able to
target the relevant executives itself and, where possible, eliminate an
expensive intermediary, particularly in the interests of developing a
working relationship prior to closing.
This network allows Wyndham to identify opportunities not usually
recognized by traditional buyout groups and allows Wyndham to prepare
changes for each investment pre-acquisition and implement those changes
post-acquisition.
